If there is any conflict, the provisions of an accepted quote or a signed contract between Voxivra and the client take precedence over these terms.

Services and commitments
Voxivra’s services (consulting, design, development, integration, deployment, support and maintenance) are provided under a quote accepted by the client or a signed contract, which defines the scope, deliverables and terms.
- Timelines are indicative; Voxivra cannot be held liable for reasonable delays.
- The client agrees to provide, in a timely manner, the information, access and approvals needed to deliver the services. Delays on the client’s side may lead to schedule adjustments.
- Any request outside the agreed scope is handled through an amendment or a new quote.
Pricing and payment
Pricing and payment terms are specified in the quote or contract. Unless otherwise stated, prices exclude taxes; applicable taxes are extra.
Limitation of liability
To the extent permitted by law, Voxivra shall not be liable for indirect damages, such as loss of profits, data or business opportunities. Voxivra’s total liability for any service is limited to the amounts actually received for the service concerned.
Governing law and jurisdiction
These terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein. Any dispute shall be submitted to the courts of the judicial district of Montréal.
Changes to these terms
Voxivra may amend these terms at any time. The applicable version is the one published on the website on the date of use or, for services, the one in effect on the date the quote was accepted.
